These Terms of Service ("Terms") govern your access to and use of the VelvetChat platform, website, and related services (collectively, the "Service") provided by VelvetChat ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Description of Service

VelvetChat provides content creator management services, including but not limited to chatting services, account management, analytics, and billing tools. The specific features available to you depend on your subscription plan.

3. Account Registration

To access certain features, you may be required to connect via Discord or create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

4. Payment and Billing

Fees are billed monthly in advance based on your agreed pricing tier.
Invoices are generated automatically and sent via QuickBooks Online or Stripe.
Payment is due by the date specified on your invoice. Late payments may result in service suspension.
A grace period may be provided at our discretion before service is paused for non-payment.
All fees are non-refundable unless otherwise stated in writing.

5. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable for any downtime or service interruptions.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the integrity or performance of the Service
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service to transmit malware, spam, or harmful content
Resell or sublicense access to the Service without our written consent

7. Intellectual Property

The Service, including its design, code, features, and branding, is owned by VelvetChat and protected by intellectual property laws. You retain ownership of any content you provide through the Service, but grant us a limited license to use it as necessary to provide the Service.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the service relationship. This includes, but is not limited to, account credentials, financial data, business strategies, and subscriber information.

9. Termination

You may cancel your subscription at any time by contacting us through Discord or email.
We may terminate or suspend your access for breach of these Terms, non-payment, or at our discretion with reasonable notice.
Upon termination, your right to use the Service ceases immediately. We may retain data as required by law or our data retention policies.

10. Limitation of Liability

To the maximum extent permitted by law, VelvetChat shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify and hold harmless VelvetChat and its officers, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Service or violation of these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.
